User Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the XRadar mobile application and related services (collectively, the “Service”), operated by XRadar, Inc. (“XRadar,” “we,” “us,” or “our”).

By downloading, installing, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility & Acceptance

You must be at least 13 years old to use XRadar.

By using the Service, you represent that you have the legal capacity to enter into these Terms.

You must be at least 18 years old to create or respond to Marketplace & Community Board posts. By posting, you represent that you meet this age requirement.

2. Description of the Service

XRadar provides campus-focused transportation and discovery tools, including:

• Real-time bus tracking
• Estimated arrival times
• Route and schedule information
• Walking and turn-by-turn directions
• Optional push notifications and class schedule alerts
• Campus transportation insights
• Discounts at participating local businesses (“Merchant Discounts”)
• Marketplace & Community Board for campus-relevant postings

Merchant Discounts

Signed-in users may redeem discounts offered by participating local businesses through the in-app activation flow described in §4. Merchant Discounts are free to users, are subject to the limits in §4, and are offered by each business, not by XRadar.

Features and participating businesses may change at any time.

Marketplace & Community Board

The XRadar Marketplace & Community Board (“Marketplace”) is an in-app feature that allows authenticated users to publish, browse, and interact with campus-relevant postings, including but not limited to items for sale, events, services, housing, opportunities, and free or giveaway listings.

The Marketplace is provided as a passive venue for user-generated postings. XRadar does not participate in, facilitate, mediate, or guarantee any transaction, communication, meeting, or arrangement that may result from a Marketplace post. All interactions arising from Marketplace postings occur entirely outside of the XRadar platform and at the sole risk of the users involved.

XRadar does not verify, endorse, or guarantee the accuracy, safety, legality, quality, or completeness of any post, product, service, event, listing, or user on the Marketplace. Users interact with other users and their postings at their own risk.

3. Accounts & Authentication

To access certain features, including the Marketplace, Merchant Discounts, and class alerts, users must sign in using one of the following methods:

• Email-based passwordless login
• Google Sign-In
• Sign in with Apple

Whether or not you sign in, XRadar assigns your device an identifier when the app is first launched. That identifier may persist if you reinstall the app and is used to recognize your device and enforce the limits in these Terms.

You are responsible for all activity that occurs under your account and for maintaining the confidentiality of your login credentials.

4. Merchant Discounts

A. Eligibility and Limits

Merchant Discounts are available to all signed-in users at no charge. Each user may redeem up to three (3) discounts per day and fifty (50) per calendar month, and no more than ten (10) at any single business per calendar month. Limits reset automatically and unused redemptions do not carry over. Discounts have no cash value.

B. Business Conditions

• Businesses may impose additional conditions on redemption (e.g., minimum purchase, eligible items)
• XRadar does not guarantee availability of any specific offer or business at any time
• XRadar may change the limits above with notice in the app

C. In-Store Redemption Process & Timing

(Important - Redemption Mechanics)

A Discount may be redeemed only in person at participating businesses and only through the in-app activation flow.

To redeem a Discount:

1. The user must initiate redemption within the XRadar app at the time of checkout.
2. The user must affirmatively activate the Discount, at which point the app will display a time-limited activation screen intended to be shown directly to the merchant.
3. The activation screen is dynamic, temporary, and non-reusable, and is designed to prevent screenshots, recordings, or reuse.

A Discount is considered redeemed at the moment the activation screen is generated, regardless of whether the transaction is completed.

Once activated:

• A redeemed Discount counts against your limits and cannot be reversed, paused, restored, or reused
• Exiting, dismissing, or allowing the activation screen to expire does not restore the Discount

Merchants are solely responsible for accepting or declining a presented Discount.

XRadar does not guarantee merchant acceptance and is not responsible for disputes arising from a merchant’s refusal to honor a Discount.

D. Modification

Merchant Discounts, participating businesses, and redemption limits may be modified, suspended, limited, or discontinued at any time, with notice where required by law.

5. Strict Prohibition on Sharing, Transfer, or Abuse

(Important - Please Read Carefully)

Merchant Discounts and all associated benefits are personal, non-transferable, and intended for use by a single individual only.

You may not:

• Share your account with any other person
• Redeem a Discount on behalf of, or allow another person to redeem using, your account or device
• Circumvent daily, monthly, or per-business limits
• Create multiple accounts or use multiple devices to obtain additional Discounts
• Exploit or attempt to bypass redemption mechanics

XRadar reserves the right to monitor usage patterns, including activation timing and redemption behavior, to detect fraud, abuse, or misuse.

Enforcement

If XRadar determines, in its sole discretion, that you have violated this section or abused the redemption process, XRadar may:

• Suspend or permanently revoke your access to Merchant Discounts
• Restrict or permanently disable your account
• Take any other action permitted by law

6. Discount Activation, Reinstatement & Disputes

A. Activated Discounts Are Final

A Discount is considered redeemed at the moment it is activated, when the time-limited activation screen is displayed.

Once activated:

• An activated Discount cannot be reversed or restored and counts against your limits
• Allowing the activation screen to expire does not reinstate the Discount
• Closing or exiting the app does not reinstate the Discount

B. Merchant Refusal

If a merchant declines to accept a properly presented activation screen:

• XRadar is not obligated to reinstate the Discount
• Merchant acceptance is outside XRadar’s control

XRadar may, in its sole discretion, review and issue a one-time courtesy adjustment in limited circumstances. Courtesy adjustments are not guaranteed and do not create precedent.

C. User Error & Misuse

Reinstatements will not be issued for:

• Accidental or premature activation
• Failure to present the activation screen
• Attempted redemption outside permitted limits
• Account or device sharing
• Violations of these Terms

D. Technical Issues

If a Discount fails to activate due to a verifiable technical error attributable to XRadar, XRadar may investigate and, if confirmed, restore or replace the Discount.

Device issues, connectivity problems, or merchant point-of-sale issues are not considered XRadar technical failures.

E. Abuse & Excessive Disputes

XRadar monitors dispute activity. Excessive or abusive reinstatement requests may result in:

• Denial of future disputes
• Revocation of Merchant Discount access
• Suspension or termination of the account

7. Data Accuracy and Reliability

(Transit Data and Navigation Disclaimer)

While XRadar strives to provide accurate and up-to-date transit and directions information, we do not guarantee the accuracy, completeness, or reliability of any transportation data, route, or turn-by-turn direction displayed through the Service.

Bus locations, schedules, and estimated arrival times may change or be inaccurate due to factors beyond XRadar’s control, including:

• Traffic conditions
• Weather events
• Mechanical or operational issues
• Human error
• Delays or inaccuracies in third-party data feeds

Walking and turn-by-turn directions are provided for general guidance only. Users are responsible for their own safety and awareness of surroundings while walking or navigating, and should not rely on the Service in place of attention to traffic, road conditions, or posted signage.

Users should not rely solely on XRadar for critical or time-sensitive transportation decisions and should maintain alternative transportation plans when necessary.

8. Service Availability

XRadar aims to provide continuous access to the Service; however, we do not guarantee uninterrupted or error-free operation.

The Service may be temporarily unavailable due to:

• Scheduled or emergency maintenance
• Technical difficulties
• Third-party service disruptions
• Network failures
• Force majeure events beyond our reasonable control

XRadar shall not be liable for losses resulting from service interruptions.

9. Third-Party Services

XRadar may integrate or rely on third-party services and data providers to provide transportation information.

XRadar is not responsible for:

• The availability of third-party services
• The accuracy, timeliness, or completeness of third-party data
• The content or performance of third-party systems

Your use of such services may be subject to their own terms and policies.

10. Acceptable Use

You agree not to:

• Use the Service for unlawful or abusive purposes
• Reverse engineer, decompile, or extract source code
• Interfere with or disrupt the Service
• Circumvent Merchant Discount limits, eligibility checks, or activation mechanics
• Use automated systems to misuse Service data
• Post content to the Marketplace that is false, misleading, fraudulent, or deceptive
• Use the Marketplace to sell, promote, or solicit drugs, controlled substances, alcohol, weapons, firearms, ammunition, counterfeit goods, or any illegal items
• Post content that contains nudity, sexually explicit material, or content that is obscene or inappropriate
• Use the Marketplace to offer or promote academic dishonesty services, including but not limited to essay writing, exam assistance, or any violation of university academic integrity policies
• Post content that constitutes hate speech, harassment, threats, discrimination, or content that violates the student conduct policies of the institution associated with your selected campus
• Post content containing personal information of others without their consent, including phone numbers, addresses, financial information, or government-issued identifiers
• Attempt to circumvent, evade, or interfere with automated content screening systems
• Create multiple accounts or use automated tools to post or manipulate Marketplace content
• Post spam, phishing links, or external redirect URLs intended to deceive or defraud users

11. Ads & Sponsored Content

XRadar may display sponsored listings or promotional content.

XRadar does not endorse and is not responsible for third-party offers.

12. Intellectual Property

All rights, title, and interest in the Service are owned by XRadar or its licensors.

You are granted a limited, revocable, non-transferable license for personal, non-commercial use.

By posting content to the Marketplace, you grant XRadar a limited, non-exclusive, royalty-free license to host, store, display, and distribute that content within the Service for as long as the post remains active or archived under §14.D, solely to operate and moderate the Marketplace.

If you believe content on the Marketplace infringes your copyright, notify us at info@thexradar.com or at XRadar, Inc., 8 The Green, Dover, DE 19901, United States, with enough detail to identify the work and the allegedly infringing post. XRadar may remove or disable access to content in response to such notices.

13. Termination

XRadar may suspend or terminate your access if you violate these Terms or misuse the Service.

Upon termination, all rights to use the Service immediately cease.

14. Marketplace Posting Guidelines & User Responsibilities

A. User Representations

By creating a Marketplace post, you represent and warrant that:

• All content in your post is truthful, accurate, and not misleading
• Your post does not infringe on any third-party intellectual property rights
• Your post complies with all applicable local, state, federal, and international laws
• Your post complies with the policies and student conduct code of the institution associated with your selected campus
• You have the legal right to offer, sell, promote, or list the item, service, event, or opportunity described

B. Prohibited Content

The following categories of content are strictly prohibited on the Marketplace:

• Drugs, controlled substances, drug paraphernalia, or any related solicitation
• Alcohol sales, distribution, or promotion
• Weapons, firearms, ammunition, or explosives
• Nudity, sexually explicit content, or sexually suggestive material
• Hate speech, harassment, threats, or discriminatory content
• Counterfeit, stolen, or illegally obtained goods
• Academic dishonesty services (essay mills, exam cheating, plagiarism services)
• Illegal subletting or housing fraud
• Spam, phishing, scam listings, or deceptive content
• Content that violates the student conduct policy of the institution associated with your selected campus
• Content that infringes another person’s copyright, trademark, or other intellectual property rights

C. Automated Content Screening

XRadar uses automated content screening systems, including third-party artificial intelligence services, which are designed to review Marketplace posts before publication. Posts that are flagged by these systems for potentially prohibited content will not be published and may be reviewed by XRadar.

Automated screening is not guaranteed to detect all violations. XRadar reserves the right to remove any post, at any time, for any reason, with or without notice. The existence of automated screening does not constitute a guarantee that all published content complies with these Terms.

D. Post Duration & Archival

Marketplace posts are visible to signed-in users until they expire, are deleted by you, or are removed by XRadar. Each post is assigned an expiry date at publication; XRadar may change the default posting period at any time. Expired and removed posts are retained by XRadar for platform integrity, moderation, analytics, and legal compliance purposes, as described in the Privacy Policy. Users may delete their own posts at any time while they are live.

E. Assumption of Risk for Off-Platform Interactions

Any meetups, exchanges, transactions, payments, communications, or other interactions that occur as a result of a Marketplace post happen entirely outside of the XRadar platform and at the sole risk of the participating users. XRadar is not a party to any such interactions and assumes no responsibility or liability for their outcome.

F. Disputes Between Users

XRadar is not a party to and will not arbitrate, mediate, or resolve any disputes between users arising from Marketplace postings or off-platform interactions. Users are solely responsible for resolving any such disputes.

15. Disclaimer of Warranties

The Service is provided "as is" and "as available."

XRadar disclaims all warranties to the fullest extent permitted by law.

16. Limitation of Liability

XRadar shall not be liable for indirect, incidental, or consequential damages.

Total liability shall not exceed the greater of (a) the amounts you paid to XRadar in the twelve (12) months preceding the claim and (b) one hundred U.S. dollars ($100).

With respect to the Marketplace & Community Board, XRadar’s total aggregate liability for any and all claims related to the Marketplace shall not exceed the same amount. XRadar expressly disclaims liability for any losses, damages, or injuries arising from off-platform interactions, transactions, meetups, or communications between users.

17. Indemnification

You agree to indemnify and hold harmless XRadar from claims arising out of your use of the Service or violation of these Terms.

18. Dispute Resolution

Most disputes will be resolved by binding arbitration.

Either party may pursue claims in small claims court or seek injunctive relief where appropriate.

Class actions are waived to the extent permitted by law.

19. App Store and Platform Terms

If you downloaded the app from the Apple App Store, you acknowledge the following:

• These Terms are between you and XRadar only, not Apple
• Apple has no obligation to furnish any maintenance or support for the app
• Apple is not responsible for addressing any claims relating to the app, including product liability, regulatory, or intellectual property claims
• You represent that you are not located in a country subject to a U.S. Government embargo and are not on any U.S. Government list of prohibited or restricted parties
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you

If you downloaded the app from Google Play, your use is also subject to the Google Play Terms of Service.

20. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

21. Severability; Entire Agreement

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force.

These Terms, together with the Privacy Policy, are the entire agreement between you and XRadar regarding the Service.

22. Changes to These Terms

We may update these Terms periodically. Continued use of the Service constitutes acceptance of the revised Terms.
